Q. What do the Registrars do?
The Registrars carry out share administration for the Company. Shares in Spirax-Sarco Engineering plc are held on the Spirax-Sarco Engineering plc register referenced by a unique shareholder reference number. Quoting this number in any contact with the Registrars will help them to respond more quickly to your enquiry.

Annual General Meeting (AGM)
Q. When is the AGM?
The AGM is usually held in May each year; the meeting date is confirmed on the Events calendar on our website, in the Annual Report and Accounts, and in the Circular to Shareholders and Notice of Annual General Meeting.
Q. What happens at the AGM?
The AGM is your opportunity to participate in certain Company decisions, meet your Company’s Directors and to ask any questions you may have relating to the Company’s business. On occasion the Group Chief Executive delivers a presentation and there is usually an opportunity for shareholders to tour our Steam Technology Centre.
Q. What if I cannot attend the AGM?
If you are unable to attend the AGM in person, you can still vote on the resolutions by completing and returning the proxy form sent to you together with the Company’s Annual Report and Accounts and Circular to Shareholders and Notice of Annual General Meeting, by the deadline indicated on the form.
If you have cast your vote by proxy, you can still attend and vote at the AGM; your votes will only be counted once.
Q. How can I find out what happened at the AGM?
Details of all the resolutions and the votes cast with respect to each resolution are posted on the website shortly after the meeting and can be found on the Shareholder notices page within the Investors section of the website.

Q. How can I find out the Company’s share price?
Our current share price (15 minute delay) can be found at the top of every page on our website. For more detailed share price information and historical data, please see the Share price page within the Investors section of the website.
Q. How do I buy or sell shares?
The Company’s ordinary shares can be bought or sold through most banks, building societies, stockbrokers, “share shops”, or through Equiniti’s share-dealing facility at http://www.shareview.co.uk/dealing
. They all offer a similar service although the commission they charge will vary.
Q. I am unsure how many Spirax-Sarco Engineering plc shares I hold. How can I find out?
You can register for a Shareview Portfolio at www.shareview.co.uk. Registration only takes a few minutes. Please note that you will need your unique shareholder reference.
Once registered, information regarding your shareholding is updated regularly and displayed clearly and conveniently. Data transferred to your browser is encrypted and not accessible to other internet users without your login information. There is no fee for this service.
Alternatively, please contact the Registrars who will be able to confirm details of your current shareholding, and any past transactions.
Q. How do I notify you of a change of name or address?
If you change your name or address, please contact our Registrars by telephone, by letter or via the Shareview website.
Q. How do I transfer shares to someone else?
You may at some point wish to transfer your Spirax-Sarco Engineering plc shares to someone else (for example, your spouse or partner). As these transactions usually do not involve a stockbroker, you can use a stock transfer form which can be obtained from our Registrars or downloaded from the Shareview website.
Where stamp duty is payable, the completed transfer form must be sent to a UK Inland Revenue Stamp Office and the duty paid before it can be forwarded to the Registrars.
Where stamp duty is not payable, you will need to complete the form fully, remembering to complete the stamp duty declaration on the reverse. The transfer form and share certificate (totalling at least the number of shares on the transfer) should be forwarded to the Registrars. If the share certificates represent more shares than the transfer, the Registrars will send you a share certificate representing the balance.

Q. My share certificate is lost or stolen – what should I do?
The Registrars keep a record of your name, address and the number of shares you own. If your certificates are lost, stolen or destroyed, the Registrars can arrange for the issue of duplicate certificates. Simply contact the Registrars as soon as you can, quoting your shareholder reference number if possible. The Registrars will arrange for you to complete an indemnity covering the Company for any loss arising from a dispute over who owns the shares and you will be charged for this, depending on the value of the share certificate. Once this is done, the Registrars will send you a duplicate certificate.
Q. Where can I find my shareholder reference number?
Your shareholder reference number is quoted on correspondence from the Registrars, such as share certificates, dividend cheques, tax vouchers or proxy cards.
Q. My spouse/partner/relative has passed away. What should I do with their shareholding?
Please contact the Registrars at your earliest opportunity to establish what documents you will need to forward to them. Our Registrars will ensure that this process is made as straight forward as possible for you.
Q. What are dividends and when do I receive them?
Dividends are payments that Spirax-Sarco Engineering plc makes to its shareholders, typically twice a year. To be entitled to a dividend, your name must be on the Spirax-Sarco Engineering plc share register on the relevant dividend record date. Shares sold before the ex-dividend date or bought after it are not entitled to that dividend.

Q. I don’t appear to have received a dividend?
Please contact our Registrars as soon as possible.
Q. I have a cheque that is more than a year old? Will I lose the dividend?
No, please contact the Registrars and they will issue you with a replacement cheque. Please note, there may be a small administration fee for this service.
Q. Can I get a replacement for a lost dividend cheque?
Yes, please contact the Registrars as soon as possible and they will arrange for the cheque to be stopped. They will then send you a replacement cheque or pay the outstanding payment directly to your bank account, provided bank details have been supplied. Please note, there may be a small administration fee for this service.
Q. Can I receive my dividends directly into my bank account?
Yes, you can have cash dividends paid directly to your bank or building society account, or receive a cheque at your registered address.
If dividends are paid direct to your bank or building society account through the BACS system, it avoids the risk of cheques being lost in the post and your dividend will be in your account on the day the payment is made. To have dividends paid directly to your bank or building society account, please contact the Registrars.
Q. Can I receive my dividend in shares?
No. At present, the Company does not offer such a facility. Should this change in the future, shareholders will be advised.
Q. How do I receive a dividend tax voucher?
A tax voucher will be sent to you at the time of each dividend payment. Your tax voucher will state details about the dividend paid, how the amount was calculated and the associated tax credit.
If you require a replacement dividend tax voucher, please inform our Registrars, who will arrange for a duplicate to be sent to you. There is a fee for this service.

Q. Why don’t I receive shareholder mailings?
It may be that you have a nominee holding through an ISA or other share brokerage account. This means that you are not named directly on the register and do not have a share certificate. You can obtain a statement of holding through your ISA provider or broker, receive Annual Reports and vote at general meetings. If you have any queries, please contact your ISA provider in the first instance.
If you have a joint shareholding and are not the first-named shareholder on the register, you may not receive mailings in your name as all shareholder communications are normally sent to the first-named shareholder only.
